TotalEnergies Marketing Mauritius Ltd is looking for a dynamic and experienced Corporate Affairs Manager to join our team.

 

ACTIVITIES

Reporting to the Managing Director, the potential candidate will be responsible for the following:

HSEQ

  • Work together with HSEQ department to ensure compliance with all HSEQ legislations and regulations.

Good Governance

  • Strictly comply with TotalEnergies’s Code of Conduct, the highest integrity standards, in particular by preventing corruption, fraud and anti-competitive practices.
  • Comply with all rules and procedures of TotalEnergies, including those relating to internal control and good governance.

Corporate Affairs

  • Manage legal services agreements with law firms.
  • In charge of the legal watch, i.e., ensuring Management of TEMML is regularly updated on laws and regulations pertaining to TEMML activities and publications of the Government Gazette affecting TEMML activities, undertake regular compliance reviews and assist the departments concerned to ensure regulatory compliance whenever required.
  • Promote understanding of legislations/regulations to ensure awareness and compliance across the organisation.
  • Works alongside CODIR members and their teams to forecast any financial impact of new legislations and regulations.
  • Organise and/or undertake training of Management and employees on relevant legislative/regulatory changes.
  • Provide information and liaise with various Government bodies and regulatory agencies to ensure TEMML meets their requirements, for example regarding the renewal of certain licences and other similar procedures.
  • Draft, review, vet and negotiate the terms of agreements and other legal documents in line with TotalEnergies’s standards and guidelines as well as local legislation.Act as TEMML’s Data Protection Officer and ensure compliance to all data protection legislations.
  • Provide assistance and/or advice on legal matters and ad-hoc projects to CODIR members and their teams.
  • Liaise with external agency and finance team for follow-up and coordination of debt recovery assignments.
  • Assist Management in decision-making regarding legal matters, e.g., which debtors should be subject to legal action.
  • Attend DMA Committee for review/reporting of legal cases and obtain validation of relevant CODIR on major decisions.
  • Responsible for follow-up, preparation, liaison with internal departments, external law firms, attending relevant commissions/ tribunals or court, with regard to all legal cases, including debtors.
  • Assist different departments with regard to the drafting and reviewing of various agreements including but not limited to Non-Disclosure Agreements, Memorandum of Understanding, and any such other legal documents required, to safeguard the interests of the organisation and/or to comply with group or regulatory requirements.
  • Work together with other departments to ensure TEMML policies are updated and applied, in line with local legislations.
  • Assist the HR department in updating the Company HR policies & procedures (Equal Opportunity, Data Protection, Archiving, among others).
  • Assist the Operations Director in processes entailing legal implications, e.g., renewal or obtention of leases, JV agreements, among others.
  • Assist the Procurement team in agreement drafting and vetting as well as negotiation of certain terms and conditions.
  • Assist Management in matters such as externalisation of workforce or organisational restructuring.
  • Assist Management in negotiations and drafting of correspondence/ documents/ agreements pertaining to the Government or relevant authorities/ bodies such as State Trading Corporation, Mauritius Ports Authority, among others.
  • Participate in Group or other audits as and when required.
  • Act as Legal Officer in Crisis Management Cell (CMC).

Economic Sanctions and Export Control

  • Provide support to the company on all legal and regulatory matters related to economic sanctions imposed by international bodies.
  • Inform Headquarters on any potential breach of economic sanctions and export control.
  • Legal advisory and risk assessment: Providing legal guidance on the applicability and impact of economic sanctions and export control.
  • Regulatory compliance: Ensure compliance with the relevant sanctions laws and regulations including advising on permissible transactions and necessary licensing.
  • Sanctions evasion prevention: advising on remedial actions in case of potential sanctions violations and ensuring the company does not engage in prohibited transactions.

Employee relations

  • Assist the Human Resources Director in the resolution of employee grievances.
  • Investigate disciplinary matters, participate in disciplinary committees and ensure compliance to procedures and legislation, at all times.
  • Participate in collective bargaining negotiations and assist the Human Resources Director in drafting and reviewing collective agreements.
  • Attend meetings at the Ministry of Labour and/or any related labour division of the Ministry of Labour.

Others

  • Assist in ad-hoc projects as assigned from time to time by Management.
  • Accept any summonses, act and appear on behalf of TEMML’s before any courts, tribunals, commissions and any other related bodies.
  • Be responsible for taking out all insurance policies of all types, to undertake negotiation with the broker and/or insurance companies, as and when it is required for the protection of TEMML and/or TEMML’s interest.
  • Be responsible for liaising with TEMML’s broker and/or TEMML’s insurance companies as regards to any and all insurance related topic to which TEMML’s is subject to.
  • Advise the Management as regards to any insurance claims to be made or which is made against TEMML.
  • To manage the legal team.

Requirements

  • LLB (Hons) 1st Class or minimum 2:1.
  • LLM in Corporate/Business Law will be an advantage.
  • Experience of at least 5 years as a Corporate Affairs Manager from a similarly high-profile corporate field.
  • Experience in, or exposure to, advising on all matters pertaining to Corporate Law issues including but not limited to labour laws, company law, data protection law, etc.
  • Excellent legal research and drafting skills.
  • Strong communication and analytical skills and a high level of commercial awareness.
  • A high degree of competence in Microsoft Word, Microsoft PowerPoint & Excel.
