Job Description for Vice President Level 1 – Company Secretary
-Coordinate the timely preparation and distribution of meeting packs/board papers and ensure that all logistical arrangements have been made for meetings.
- Attend Board and Committee meetings, take accurate minutes at the meetings and having these distributed within the agreed timelines as per the Board Charter and Terms of Reference (“TOR”).
-Undertake all the required company secretarial filings as required under the Mauritian Laws.
-Undertake all the required notifications to the Regulator as required under the Regulatory Laws.
-Assist the Company Secretary to provide the relevant corporate documentation as required by internal and external stakeholders.
-Provide secretarial support to Apex affiliated companies based locally or in other jurisdictions as required.
-Assist the Company Secretary in advising Directors on the proper application of Corporate Governance and the Mauritian Company Law requirements.
-Update the Corporate Governance Framework including board Charters, FSC Code of business conduct and other documentations regularly.
-Assist the Company Secretary in ensuring compliance with the TOR of the relevant Committees and updating the TOR as appropriate.
-Participate in specific projects which may rise from time to time.
-To undertake such cognate duties as may be assigned.
Qualifications and Experience
-Degree holder in law, law, and management or qualified ICSA or partly qualified ACCA/ACA (minimum Level 2)
-Minimum 2 years of experience in a similar role in the global business sector
-Sound knowledge of Companies Act, National Code of Corporate Governance, Financial Services Act, and relevant legislation affecting Global Business in Mauritius
