Job Description
1. POSITION PURPOSE
As the Head
of Legal, you will provide robust legal advice and oversight to the
organisation.
You will be
responsible for providing expert legal advice, guidance, and representation to
the company, serving as the primary legal advisor to senior executives and the
board of directors.
Key
Responsibilities & Duties
Commercial
Contracts & Procurement
- Vetting & Negotiation: Review, draft,
and negotiate new agreements with suppliers, clients, and third-party
vendors to safeguard company interests.
- Land & Property: Draft, vet, and execute
commercial property leases, real estate acquisitions, and development
agreements.
- Government Bidding: Oversee the legal
preparation and compliance of bidding and tendering processes for public
sector and government contracts.
Corporate
Governance & Leadership Advisory
- Daily Counsel: Provide actionable,
day-to-day legal and strategic counsel to the executive leadership team.
- Board of Directors: Serve as the board's
advisor, managing meeting preparation, corporate record-keeping, and
ensuring adherence to corporate governance protocols.
- Stock Exchange Compliance: Ensure strict compliance with public stock exchange regulations regarding disclosure, insider trading, and corporate reporting.
Corporate
Expansion & Taxation
- Investments & Franchises: Provide legal
due diligence, structuring, and regulatory advice for franchise models and
new investment opportunities.
- Tax Advisory: Advise on the legal
implications of corporate tax structures, cross-border transactions, and
compliance with local revenue laws.
Labor &
Employment
- Work Agreements: Draft and negotiate
executive employment contracts, independent contractor agreements, and
internal HR policies.
- Dispute Resolution: Manage labour disputes,
grievance procedures, and compliance with local employment and labour
laws.
Compliance
& Professional Conduct
- Ensure adherence to company policies, pricing
structures, and approval processes
- Maintain
professionalism and represent the Company positively at all
times
- Ensure confidentiality of client and business
information

Performance Indicators (KPIs)
1. Bidding, Tendering, and Land
- Contract
Award Speed: Average number of days from tender release to submission.
- Land
& Property Compliance: 100% completion rate of land title due
diligence and regulatory clearances before operational deadlines.
2. Commercial Contracts & Agreements
- Contract
Turnaround Cycle Time: Average days elapsed from drafting/vetting
request to client execution.
- Agreement
Deviation Rate: Percentage of supplier/client/third-party contracts
that successfully use your preferred standard templates versus those
requiring exhaustive redlining.
3. Corporate Governance & Board of Directors
- Board
Resolution Execution Rate: Percentage of Board-mandated actions or
corporate resolutions implemented on time.
- Meeting
Preparation Timeliness: Delivery of board materials and legal
memorandums to directors strictly meeting statutory notice periods
4. Public Stock Exchange & Franchise Investment
- Regulatory Compliance Delays: Zero (0) breaches or public reprimands
from the local stock exchange regarding timely disclosures and insider
trading policies.
- Investment
Structuring Efficiency: Time taken to legally vet and clear
Franchise/Investment opportunity memorandums.
5. Tax, Labour, and Work Agreements
- Tax
Dispute Resolution: Zero financial penalties or successful tax audits
from the Mauritius Revenue Authority (MRA) or equivalent local tax bodies.
- Labour Agreement SLA: Time taken to draft and clear employment/work visa (e.g.,
Occupation Permit) agreements.
6. General Leadership & Operations
- Internal Client Satisfaction: Quarterly survey score measuring leadership's perception of the legal department's commercial understanding and response speed.
- Budget vs. Actual Spend: Managing the total inside/outside legal
expenditure within the allocated financial year budget
2. PROFILE REQUIREMENTS:
•
Solicitor, barrister or equivalent qualified lawyer with substantial
post-qualification experience
• Extensive
experience as a senior in-house lawyer within a regulated sector with
specialist knowledge in commercial and/or sector specific law, and the right to
practice law in this jurisdiction.
• In-depth
legal expertise with an understanding of legal principles and practices
• A
strategic mindset with experience in business planning, performance management
and value.
• Proven
analytical and problem-solving skills, demonstrating your ability to assess and
understand complex legal issues, and provide strategic advice.
• Natural
leadership, management and influencing skills, with the ability to assess and
understand complex legal issues, build trusted relationships with stakeholders
and maintain probity and professional standards at all times
• Have
exceptional writing and communication skills, with the ability to deliver
succinct presentations or advice to leaders and wider organisation.
