Job Description
Hiring a Legal Attorney experienced in contracts, compliance, corporate governance, and legal advisory services globally.
Key Responsibilities
Contract Review (Buy-Sell Side Both)
- Draft, review, redline, negotiate, and manage a wide range of contracts, ensuring clarity, legal compliance, favourable terms, and timely execution.
- Be responsible for the end-to-end contract lifecycle, including execution, storage, tracking, renewal, and termination through structured repositories and systems.
- Provide legal advice to internal stakeholders and cross-functional teams on contract interpretation, obligations, risks, and liabilities, while ensuring alignment with business requirements.
- Identify, assess, and mitigate legal and contractual risks through legal research, compliance checks, and risk-management strategies.
- Coordinate and collaborate with internal legal teams and external legal counsel on litigation, disputes, and supplier-related legal matters.
- Track, maintain, and report on legal operations, contract status, and issues through accurate documentation, dashboards, and legal trackers.
- Advise on the corporate entity lifecycle, restructuring, and ongoing compliance with local laws, coordinating across jurisdictions.
- Manage corporate governance and secretarial documentation, including shareholder agreements, board resolutions, meeting minutes, and filings, ensuring accuracy and accessibility.
- Ensure statutory, fiduciary, and regulatory compliance of legal entities, including timely filings and risk identification.
- Maintain centralized and accurate entity data, including structure, ownership, and governance, while supporting governance changes and compliance projects.
- Stay up to date on fiduciary, regulatory, and statutory responsibilities of legal entities, their directors, officers, and managers, and share advice with stakeholders on such matters.
- Develop strong working relationships with partners and lawyers across sectors, departments, and jurisdictions.
- Identify, assess, and mitigate legal risks across business operations, transactions, and strategic initiatives, including M&A activities.
- Manage transactions, litigation, and dispute resolution, including preparation of transaction documentation and multi-jurisdictional coordination.
- Develop, implement, and update legal policies, procedures, and contractual documentation to ensure compliance and risk mitigation.
- Oversee intellectual property matters and ensure adherence to corporate governance requirements and best practices.
- Track and provide regular reports on the status of legal department operations and issues being handled, ensuring all relevant information regarding legal matters is accurate and up to date through legal activity progress documents, contract repositories, abstraction sheets, and master data.
- Collaborate with internal stakeholders and external counsel globally, while tracking legal operations, reporting status, and conducting legal training across functions.
- At least 3 to 5 years of relevant global and domain expertise in a Contract Management environment.
- Experience in contract law, corporate advisory, and M&A, including transaction exposure and due diligence.
- Experience with legal research databases and CLM platforms, including e-signature tools and contract management systems.
- Excellent writing skills with a strong commercial approach.
- Experience working on multi-jurisdictional projects as part of compliance and governance teams is an advantage.
- Process-driven, with an understanding of the importance of procedures and corporate record keeping.
- LLB, LLM - Specialization in Contract Law, International Law, or Corporate Law.
- Proficiency in using legal software, ERP systems, Microsoft Office Suite, Contract Management Tools, Litigation Tools, Corporate Entity Management Tools, and related processes.
- Excellent written and verbal communication skills to interact with internal and external stakeholders.
- Ability to identify risks and issues and provide effective resolutions related to legal workstreams and matters.
- Demonstrates maturity and gravitas with a strong service-oriented and "client first" culture.
- Ability to work independently as well as collaboratively within teams.
