Job Description
Executive
Services Ltd is seeking a motivated and professional Assistant Company
Secretary to join our growing Corporate Services team.
Minimum
Requirements
- Semi-qualified or Fully
Qualified CGI/ICSA professional.
- Minimum 1-2 year of
relevant experience in company secretarial and corporate services.
- Sound knowledge of the Companies
Act 2001, corporate governance principles, and statutory compliance
requirements.
- Excellent written and verbal
communication skills in English and French
- Strong organisational skills
with the ability to manage multiple deadlines.
- Proficient in Microsoft
Office applications.
Key
Responsibilities
- Manage a portfolio of client
companies.
- Organise and attend Board
and Shareholders' meetings.
- Prepare agendas, board
packs, minutes, and written resolutions.
- Ensure compliance with
statutory and regulatory requirements.
- Maintain statutory registers
and corporate records.
- Prepare and file statutory
returns and regulatory filings.
- Advise clients on company
law, corporate governance, and compliance matters.
- Liaise with regulators,
banks, auditors, legal advisers, and other stakeholders.
- Assist with company
incorporations, restructurings, share transfers, and other corporate
transactions.
- Support senior management
with governance and client relationship management.
- Ensure that all work is
completed accurately, professionally, and within prescribed deadlines.
