Job Description
Hiring a Fund Administration and Investment Operations Associate to manage governance, compliance, banking and operations.
Role Purpose
The Fund Administration and Investment Operations Associate will support the Board in the governance, administration and operational coordination of a Mauritius-based offshore investment holding structure used to hold private equity and related investments.
The Client operates with a lean structure and relies heavily on outsourced service providers, including corporate secretarial, accounting, legal, tax and compliance advisors. This role serves as the central internal coordinator across these providers and is responsible for ensuring that governance, regulatory, banking and investment administration processes are executed accurately, efficiently and on time.
This is a mid-level, execution-focused role suited to a highly organised and assertive individual who is comfortable taking ownership of processes, managing external providers and ensuring consistent follow-through in a lean environment.
Key Responsibilities1. Company Secretarial and Governance
Support the Board with governance and administration of the Client and related entities.
Responsibilities include:
- Preparing agendas and supporting materials for board meetings.
- Drafting and coordinating board and shareholder resolutions.
- Maintaining statutory registers and corporate records.
- Ensuring all corporate actions are properly documented and implemented.
- Maintaining a well-organised repository of constitutional and governance documents.
- Tracking matters requiring board or shareholder approval.
- Coordinating with external corporate secretarial providers.
- Drafting and coordinating board and shareholder resolutions.
- Maintaining statutory registers and corporate records.
- Ensuring all corporate actions are properly documented and implemented.

2. Investment Operations Administration
Coordinate the administrative execution of the Client's investment activities.
Responsibilities include:
- Supporting investment closings from a corporate and administrative perspective.
- Coordinating execution deliverables, funding notices, subscriptions and post-closing actions.
- Maintaining transaction records, closing files and investment documentation.
- Tracking capital flows, distributions and intercompany funding.

3. Financial Oversight and Administration (Non-Bookkeeping)
Oversee outsourced accounting and financial administration processes.
Responsibilities include:
- Acting as the primary liaison with outsourced accountants, administrators, tax advisors and auditors.
- Coordinating and reviewing the preparation of management accounts, annual financial statements and audits.
- Reviewing invoices, recurring expenses and payment requests for approval.
- Monitoring cash balances, funding requirements and payment timelines.
- Ensuring financial information is well-organised and available for board reporting.
- Providing light financial insight where appropriate (e.g. cash position, timing of flows).
- Coordinating and reviewing the preparation of management accounts, annual financial statements and audits.
- Reviewing invoices, recurring expenses and payment requests for approval.
- Monitoring cash balances, funding requirements and payment timelines.

4. Regulatory Compliance and Advisory Oversight
Own and manage the Client's ongoing regulatory compliance obligations across its business activities.
Responsibilities include:
- Coordinating with external legal and compliance advisors to ensure the Client meets all requirements set by the Financial Services Commission Mauritius.
- Supporting the establishment and ongoing maintenance of any required licences or regulatory permissions.
- Ensuring that the Client operates within the scope of its regulatory approvals at all times.
- Maintaining and updating compliance frameworks, policies and procedures appropriate to an investment holding and advisory structure.
- Coordinating regulatory filings, reporting requirements and audits.
- Maintaining readiness for regulatory inspections or reviews.
- Monitoring regulatory developments relevant to the Client's activities and assessing implications.
- Managing recurring compliance processes, including FATCA, CRS, AML/KYC and beneficial ownership requirements.
- Coordinating periodic refreshes of corporate, trust, director and bank KYC records.
- Maintaining a central compliance calendar and tracking all regulatory and compliance deadlines.
- Responding to information requests from regulators, banks, counterparties and service providers.
- Identifying, tracking and escalating compliance risks, gaps or delays to the Board in a timely manner.

Responsibilities include:
- Assisting with bank account openings and maintenance.
- Preparing payment instructions and coordinating approvals with authorised signatories.
- Tracking execution of payments, investment funding and distributions.
- Managing bank compliance reviews, source-of-funds requests and account refresh exercises.
- Maintaining records of bank accounts, signatories and authorities.
- Monitoring cash movements and upcoming funding requirements.
- Preparing payment instructions and coordinating approvals with authorised signatories.
- Tracking execution of payments, investment funding and distributions.
- Managing bank compliance reviews, source-of-funds requests and account refresh exercises.
- Maintaining records of bank accounts, signatories and authorities.

6. Service Provider Coordination and Process Management
Act as the central coordinator across all outsourced providers and ensure effective execution.
Responsibilities include:
- Managing day-to-day interaction with accountants, auditors, tax advisors, lawyers, administrators and banks.
- Following up proactively to ensure deliverables are completed accurately and on time.
- Reviewing outputs and identifying inconsistencies, gaps or errors.
- Driving accountability across service providers where performance is lacking.
- Developing and maintaining practical processes, checklists and document management standards.
- Ensuring clear audit trails and documentation across all activities.
- Following up proactively to ensure deliverables are completed accurately and on time.
- Reviewing outputs and identifying inconsistencies, gaps or errors.

Skills and Experience
- 5 - 7 years' experience in company secretarial, fund administration, fiduciary services, legal administration, finance operations or investment operations
- Experience working with or coordinating offshore structures
- Familiarity with governance, corporate records and regulatory compliance processes
- Exposure to financial reporting processes and working with external accountants/auditors
- Basic understanding of private equity or investment structures
- Strong administrative and organisational capability
- High attention to detail and strong follow-through
- Ability to manage multiple external stakeholders effectively
- Strong written and verbal communication skills
- Comfortable using Microsoft Office (Excel, Word, PowerPoint), SharePoint/OneDrive and Xero

Role Boundaries
This is an operational, coordination and compliance-focused role. The role holder will not be expected to provide legal, tax, compliance or investment advice directly, but will be responsible for ensuring that appropriate external advisors are engaged, coordinated and held accountable, and that the Client remains compliant and well organised.
