Marlin Mercantile Limited seeks a DMLRO & Corporate Secretary to support AML/CFT compliance and corporate governance. This role assists the MLRO in regulatory adherence while ensuring best practices in governance for the firm and its clients.

 

Key Responsibilities: 

Deputy Money Laundering Reporting Officer (DMLRO) Responsibilities: 

  • Assist in the implementation and maintenance of a robust AML/CFT compliance framework, ensuring alignment with the Financial Intelligence and Anti-Money Laundering Act (FIAMLA) and Financial Services Commission (FSC) regulations. 

  • Conduct customer due diligence (CDD) and enhanced due diligence (EDD) with a client-centric approach, ensuring seamless compliance without disrupting business operations. 

  • Monitor and assess transactions to identify any suspicious activity and escalate concerns to the MLRO. 

  • Assist in the preparation and timely submission of Suspicious Transaction Reports (STRs) and regulatory filings. 

  • Conduct regular internal reviews to enhance AML/CFT policies and procedures. 

  • Deliver AML/CFT training to employees, reinforcing a proactive compliance culture that aligns with our ethos of protecting our clients. 

Corporate Secretary Responsibilities: 

  • Oversee corporate governance and regulatory compliance for Marlin Mercantile and its clients, ensuring adherence to the Companies Act, Financial Services Act, and FSC guidelines. 

  • Prepare and maintain corporate records, including board resolutions, meeting minutes, statutory registers, and filings with regulatory bodies. 

  • Act as a trusted advisor to the Board and senior management on governance and regulatory matters, offering strategic guidance tailored to each client’s business needs. 

  • Facilitate board and committee meetings, ensuring proper documentation and compliance with governance best practices. 

  • Assist in the preparation and filing of statutory documents with the Registrar of Companies and FSC, maintaining a proactive approach to regulatory obligations. 

  • Ensure clear, effective communication between clients, management, shareholders, and regulatory bodies, reinforcing our commitment to long-term, trusted relationships. 

  • Support clients in navigating complex regulatory environments with bespoke corporate secretarial solutions that allow them to focus on growing their businesses. 

Key Requirements: 

  • Bachelor’s degree in Law, Finance, Business Administration, Governance, or a related field. 

  • 3-5 years of experience in AML/CFT compliance, corporate secretarial services, or regulatory compliance within the financial services or management company sector. 

  • Approved by the FSC and registered at the Registrar of Companies 

  • Strong understanding of FSC regulations, FIAMLA, the Companies Act, and corporate governance frameworks. 

  • Professional certifications in AML (e.g., CAMS, ICA) or corporate governance (e.g., ICSA) are an advantage. 

  • Highly detail-oriented with strong analytical and problem-solving skills. 

  • Excellent interpersonal and communication skills, reflecting Marlin Mercantile’s commitment to relationship-driven service. 

  • A proactive mindset, capable of anticipating and mitigating risks before they arise. 

  • Ability to work independently while collaborating with a team that values excellence, ethics, and efficiency.
